Terms of Service

The agreement between Talaan and the businesses and people who use it.

Last updated

1. This agreement

These terms are an agreement between [registered business name of Talaan’s operator] (to be confirmed) (“Talaan”, “we”) and the business that opens a Talaan account (the “Customer”, “you”). The person who creates the account confirms that they are at least 18 and authorised to accept these terms for the business.

By creating an account you agree to these terms and acknowledge our Privacy Notice. Where you put other people’s personal data into Talaan, our Data Processing Agreement also applies and forms part of these terms.

2. The service

Talaan is web software for keeping books, issuing invoices and other business documents, and running payroll for Philippine businesses, with an employee portal for the Customer’s employees. What it does not do today:

  • It does not transmit invoices to the BIR. Electronic sales reporting under RR 11-2025 starts only once the BIR’s system is established and a separate regulation is issued.
  • It does not file returns or pay taxes or government contributions for you. Reports and files it produces are filed and paid by you.
  • It does not connect live to marketplaces or banks. Orders and bank statements are brought in by file import.
  • It does not yet collect online payments from your customers.

We will add features over time; this list will change as they become available.

3. Private beta and fees

Talaan is in a private beta. Accounts are opened by invitation, or once we approve a request for access. While billing is off, Talaan is free.

When billing opens, the prices on our pricing page will apply. We will tell you by email at least [30 days] (to be confirmed) before any charge starts. Nothing will be charged unless you choose a paid plan; if you do not, you can export your data and close your account. Prices are in Philippine pesos and include or exclude VAT as the pricing page states.

4. Accounts and security

  • Give accurate information when you register, and keep it up to date.
  • Keep your password and the email inbox that receives your sign-in codes secure. Each person has their own sign-in; do not share one.
  • You are responsible for the people you invite and the roles you give them, and for what is done under your account.
  • Tell us at once at hello@talaan.ph if you suspect unauthorised use.

5. Your tax and legal obligations

You remain responsible for your own compliance. That includes your BIR registrations (your Certificate of Registration, the registration of your books and of any computerised accounting system), the invoices and receipts you issue, your returns and payments, and your obligations as an employer to the BIR, SSS, PhilHealth and Pag-IBIG.

Talaan is software. It is not tax, accounting or legal advice, and using it does not by itself make you compliant. Its rates, tables and rules reflect our reading of the regulations in force when they were built; Philippine tax rules have changed every year since 2023. Have a Philippine CPA or tax lawyer check your invoice templates, tax settings and filings before you rely on them.

6. Your data

The records you put into Talaan are yours. You give us permission to host, copy, process and display them only as needed to provide the service to you, as described in the Privacy Notice and the Data Processing Agreement.

You are responsible for having the right to use the personal data you enter — your customers’, suppliers’ and employees’ — and for giving them any notice the Data Privacy Act requires.

7. Acceptable use

You must not use Talaan to:

  • issue false or fictitious invoices or receipts, or otherwise evade taxes or deceive a government agency;
  • break any law, or process personal data without a lawful basis;
  • access, or try to access, another business’s data or any part of Talaan you have not been given access to;
  • upload malicious code, or probe, scan, load-test or disrupt the service without our written permission;
  • resell or provide Talaan to others as a service without our written agreement.

If you use the developer API, keep your API keys secret and stay within any limits we set.

8. Exporting your data and leaving

You can export your data at any time — Settings → Export data, and the exports on each report and list — and you can stop using Talaan whenever you like.

When your account is closed, by you or by us, your data stays available for export for [30 days] (to be confirmed) and is then deleted as the Data Processing Agreement sets out. Philippine law requires you to keep e-invoice records for three years from the close of the taxable year and your books of accounts for ten years: export them before you leave.

9. Availability and changes

During the private beta Talaan is provided without a service level. We work to keep it available and your data safe, but the service may be interrupted for maintenance, faults or reasons outside our control, and features may change. We will give notice of planned maintenance where we can. Keep your own exports of records you cannot do without.

10. Suspension and termination

We may suspend or close an account that breaks these terms, puts the security of the service or other customers at risk, or that the law requires us to act on — after notice where that is reasonable, and with the chance to export your data unless the law or the risk prevents it. Once billing opens, we may also suspend an account whose fees remain unpaid after notice.

11. Disclaimers and liability

To the extent the law allows, Talaan is provided “as is” during the private beta, without warranties that it will be uninterrupted, error-free or fit for a particular purpose.

To the extent the law allows:

  • we are not liable for indirect or consequential loss, lost profits, or penalties, surcharges and interest imposed on you by a government agency;
  • our total liability for all claims in any twelve months is limited to [the fees you paid us in the 12 months before the claim, or ₱ amount while the beta is free] (to be confirmed).

Nothing in these terms limits liability for fraud, bad faith or anything else Philippine law does not allow to be limited.

12. Governing law

These terms are governed by the laws of the Republic of the Philippines. Disputes go to the courts of [venue] (to be confirmed), to the exclusion of other courts.

13. Changes to these terms

We may update these terms. For a material change we will tell you by email or in the app at least [30 days] (to be confirmed) before it takes effect. If you do not agree, you can export your data and close your account before then; continuing to use Talaan after the change takes effect means you accept it.

14. Contact

Questions about these terms: hello@talaan.ph (to be confirmed). Postal address: [business address] (to be confirmed). See also Contact.
